“Platform” refers to Bondi’s cloud-based system that enables organizations to build custom internal business systems using artificial intelligence.
“User” or “you” means any individual or entity that accesses or uses the Services.
“Account” means your registered user account on the Platform.
“Content” means any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, works of authorship, applications, links, and other content or materials.
“User Content” means any Content that you upload, submit, post, or transmit through the Services.
“API” means the GraphQL application programming interface provided by Bondi for programmatic access to the Services.
“Subscription” means your paid or trial access to the Services under a specific plan.
“Organization” means a business, company, or entity for which the Services are being used.
3. Acceptance of Terms
3.1 Binding Agreement
By creating an Account, accessing the Platform, or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
3.2 Capacity to Agree
By accepting these Terms, you represent and warrant that:
- You have the legal capacity and authority to enter into this agreement
- If accepting on behalf of an Organization, you have the authority to bind that Organization to these Terms
- Your use of the Services does not violate any applicable law or regulation
3.3 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website with a new “Last Updated” date
- Sending an email notification to your registered email address (for material changes)
- Providing at least 30 days’ notice before material changes take effect
Your continued use of the Services after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and may cancel your Account.
3.4 Additional Terms
Certain features or services may be subject to additional terms and conditions. By using those features or services, you agree to any applicable additional terms.
4. Description of Services
4.1 Bondi Platform
Bondi provides a cloud-based platform that enables organizations to build custom internal business systems using artificial intelligence. Our Services include:

- Custom data models and workflows
- User interface generation and customization
- Business logic automation
- Data management and storage
- Collaboration tools
Technical Capabilities:
- GraphQL API for programmatic access
- Integration capabilities with third-party services
- Data import and export functionality
- Custom integrations (optional)
Access Methods:
- Web-based interface
- API access via GraphQL
- Mobile-responsive design
4.2 Service Modifications
We continuously improve and evolve our Services. We reserve the right to:
- Add, modify, or remove features or functionality
- Update the user interface or user experience
- Change API endpoints or specifications (with reasonable notice)
- Implement new technologies or methodologies
We will make reasonable efforts to maintain backward compatibility and provide advance notice of breaking changes that may affect your use of the Services.
4.3 Beta Features
We may offer access to beta, pilot, or experimental features (“Beta Features”). Beta Features are provided “as is” and may contain bugs or errors. We may discontinue Beta Features at any time without notice. Your use of Beta Features is at your own risk.
4.4 Service Availability
While we strive to provide reliable and continuous access to the Services, we do not guarantee that:
- The Services will be available at all times without interruption
- The Services will be error-free or free from vulnerabilities
- Any defects will be corrected within a specific timeframe
Scheduled maintenance and updates will be performed with advance notice when possible, typically during off-peak hours.
5. Account Registration and Security
5.1 Account Creation
To use the Services, you must create an Account by providing:
- A valid email address
- A secure password
- Your name or Organization name
- Any other required registration information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your Account credentials
- All activities that occur under your Account
- Notifying us immediately of any unauthorized access or security breach
You must not:
- Share your Account credentials with others
- Allow others to access your Account
- Create an Account using false or misleading information
- Create multiple Accounts for the same individual or Organization without authorization
5.3 Account Types
We may offer different types of Accounts with varying features and limitations:
- Trial Accounts: Free access for a limited period (14 days)
- Subscription Accounts: Paid monthly subscriptions with full access to Services
- Enterprise Accounts: Custom plans with tailored features and terms
5.4 Organization Accounts
If you create an Account on behalf of an Organization:
- You represent that you have authority to bind the Organization
- The Organization is responsible for all activities under the Account
- The Organization must ensure all users comply with these Terms
- Administrators may manage user access and permissions
6. Subscription, Billing, and Payments
6.1 Free Trial
New customers are eligible for a 14-day free trial to evaluate the Platform.
Trial Terms:
- Full access to Platform features (or specified trial tier)
- No credit card required to start the trial
- No automatic charges during the trial period
- Trial can be extended at our discretion
After the trial period ends, you must subscribe to a paid plan to continue using the Services. If you do not subscribe, your Account will be deactivated and your data will be retained for 30 days as described in Section 10.
6.2 Subscription Plans
We offer monthly subscription plans with varying features and pricing. Current plans and pricing are available on our website.
Subscription Terms:
- Subscriptions are billed monthly in advance
- Subscriptions automatically renew unless cancelled
- You can cancel at any time
- No long-term commitment required
6.3 Payment
Payment Processing:
- All payments are processed through Stripe, our third-party payment processor
- You must provide valid payment information
- You authorize us to charge your payment method for all fees

- Credit cards (Visa, Mastercard, American Express, Discover)
- Debit cards
- Other methods as available through Stripe
6.4 Automatic Renewal
Your Subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee for the renewal period.
We will send you a reminder email before each renewal. You can cancel auto-renewal at any time through your Account settings or by contacting support@heybondi.com.
6.5 Price Changes
We may change subscription prices at any time. Price changes will:
- Be communicated at least 30 days in advance
- Apply to your next renewal period (not current period)
- Give you the opportunity to cancel before the new price takes effect
6.6 Taxes
All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including sales tax, VAT, GST, or similar taxes (“Taxes”). You are responsible for paying all applicable Taxes. If we are required to collect or pay Taxes, such amounts will be charged to you.
6.7 Refunds and Cancellations
All matters related to refunds, cancellations, downgrades, payment failures, and related billing issues are governed by our Refund Policy, which is incorporated into these Terms by reference. Please review our Refund Policy at [link to Refund Policy] for complete details.

- Monthly subscriptions are generally non-refundable
- You can cancel at any time without future charges

7. User Content and Data
7.1 Ownership of User Content
You retain all ownership rights to your User Content. We do not claim any ownership rights to your User Content.
7.2 License to User Content
By uploading or submitting User Content to the Services, you grant Bondi a worldwide, non-exclusive, royalty-free license to:
- Store, process, and transmit your User Content
- Use your User Content to provide, maintain, and improve the Services
- Create derivative works necessary to provide the Services (e.g., formatting, optimization)
- Back up your User Content for disaster recovery and business continuity
This license is limited to the purposes of providing the Services and terminates when you delete your User Content or close your Account (subject to the data retention period described in Section 10).
7.3 Your Responsibilities for User Content
You are solely responsible for your User Content and the consequences of uploading, posting, or publishing it. You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate any third-party rights
- Your User Content complies with these Terms and all applicable laws
- Your User Content does not contain viruses, malware, or malicious code
7.4 Prohibited Content
You must not upload, post, or transmit any User Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
- Contains viruses, malware, or other malicious code
- Violates any applicable law or regulation
- Impersonates any person or entity or misrepresents your affiliation
7.5 Data Security
We implement reasonable technical and organizational measures to protect your User Content from unauthorized access, loss, or destruction. However, no method of transmission or storage is 100% secure. You acknowledge that you provide User Content at your own risk.
7.6 Data Backups
While we perform regular backups of our systems, you are responsible for maintaining your own backups of your User Content. We are not liable for any loss or corruption of User Content.
7.7 Data Processing
Our collection, use, and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
8. Acceptable Use Policy
8.1 Permitted Uses
You may use the Services only for lawful purposes and in accordance with these Terms. You may:
- Create custom internal business systems for your Organization
- Upload and manage data related to your business operations
- Use the API to integrate with your systems
- Collaborate with team members within your Organization
8.2 Prohibited Uses
You must not use the Services to:
Illegal Activities:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Engage in fraudulent or deceptive practices
Harmful Activities:
- Transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Services or other users’ Accounts
- Interfere with or disrupt the Services or servers
- Launch denial-of-service attacks or similar attacks
Abusive Activities:
- Send spam, unsolicited communications, or bulk messages
- Harvest or collect information about users without consent
- Create fake or misleading Accounts
- Use the Services for cryptocurrency mining
Misuse of Resources:
- Exceed reasonable usage limits or quotas
- Use automated systems to access the Services excessively
- Attempt to reverse engineer, decompile, or disassemble the Services
- Resell, lease, or provide access to the Services to third parties without authorization
8.3 Enforcement
We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including:
- Removing User Content that violates these Terms
- Suspending or terminating Accounts
- Reporting illegal activities to law enforcement
- Taking legal action to recover damages
8.4 Reporting Violations
If you become aware of any violations of these Terms, please report them to support@heybondi.com.
9. API Usage and Technical Terms
9.1 API Access
We provide a GraphQL API for programmatic access to the Services. To use the API, you must:
- Have an active Subscription
- Obtain and securely store API credentials
- Comply with our API documentation and guidelines
9.2 API Usage Guidelines
When using the API, you must:
- Use API credentials securely and not share them with unauthorized parties
- Implement appropriate error handling and retry logic
- Follow rate limits and usage quotas as specified in our documentation
- Cache API responses appropriately to minimize unnecessary requests
- Use the latest stable version of the API when possible
9.3 Rate Limits
We may impose rate limits on API usage to ensure fair access and protect system performance. If you exceed rate limits:
- You may receive HTTP 429 (Too Many Requests) responses
- Your API access may be temporarily throttled
- Excessive violations may result in API access suspension
Rate limits are documented in our API documentation and may be adjusted at our discretion.
9.4 API Changes
We may modify the API from time to time. We will:
- Provide reasonable advance notice of breaking changes
- Maintain backward compatibility when possible
- Document all API changes in our changelog
- Support older API versions for a reasonable transition period
9.5 API Credentials Security
You are responsible for:
- Keeping your API credentials confidential
- Rotating API credentials regularly
- Notifying us immediately if credentials are compromised
- Implementing secure storage and transmission of API credentials
9.6 API Service Level
API access is provided on a “best efforts” basis. We do not guarantee:
- Specific uptime or availability percentages
- Response times or latency
- That the API will be free from errors or bugs
10. Account Termination and Data Retention
10.1 Cancellation by You
You may cancel your Subscription at any time through your Account settings or by contacting billing@heybondi.com.
Effect of Cancellation:
- Your Subscription will remain active until the end of your current billing period
- You will not be charged for subsequent billing periods
- No refunds will be issued for the current billing period (subject to our Refund Policy)
- Your Account will be downgraded to inactive status at the end of the billing period
10.2 Payment Failures
If a payment fails to process:
- You will receive an email notification
- We will retry payment processing over a 7-day grace period
- You will retain full access to the Services during the grace period
- You can update your payment method at any time
After Grace Period:
- If payment remains unpaid after 7 days, your Account will be suspended
- Access to the Services will be restricted to view-only mode
- Integrations and automations will be paused
- Your Account will remain suspended until payment is made
10.3 Data Retention After Cancellation or Suspension
30-Day Retention Period:
- After cancellation or suspension, your data is retained for 30 days
- You can export your data during this period using our data export tools
- You can reactivate your Subscription at any time during the 30-day period
- If you reactivate, all your data and settings will be fully restored
After 30 Days:
- Your data will be permanently deleted from our systems
- Data cannot be recovered after permanent deletion
- Backups containing your data will be deleted within 30 days according to our backup retention schedule
Data Export:
- You can export your data at any time while your Account is active or during the 30-day retention period
- Export formats include CSV, JSON, and other standard formats
- Large exports may take time to process and will be made available for download
10.4 Termination by Bondi
We may suspend or terminate your Account at any time if:
- You violate these Terms or our Acceptable Use Policy
- Your Account has been inactive for an extended period
- We are required to do so by law or legal process
- You engage in fraudulent or abusive behavior
- Your use of the Services poses a security risk
Notice:
- We will provide reasonable notice before termination except in cases of:
- Violations of law or regulation
- Immediate security threats
- Repeated or serious violations of these Terms
Effect of Termination:
- Your access to the Services will be immediately revoked
- The 30-day data retention period begins (you can still export your data)
- After 30 days, your data will be permanently deleted
10.5 Survival
The following provisions survive termination of these Terms:
- Sections related to ownership, intellectual property, indemnification, limitation of liability, and dispute resolution
- Any payment obligations incurred before termination
- Provisions that by their nature should survive termination
11. Third-Party Integrations
11.1 Third-Party Services
The Services may allow you to integrate with third-party applications, services, or platforms (“Third-Party Services”). These integrations are provided for your convenience.
11.2 Third-Party Terms
Your use of Third-Party Services is governed by the terms and conditions of those services. You are responsible for:

- You authorize us to share your User Content with those services
- You understand that third parties have their own privacy and security practices
- We are not responsible for how third parties use your data
11.5 Integration Availability
We may add, modify, or discontinue integrations with Third-Party Services at any time. We are not liable for any disruption to your workflows caused by changes to integrations.
12. Intellectual Property Rights
12.1 Bondi’s Intellectual Property
The Services, including all software, technology, designs, graphics, user interfaces, trademarks, logos, and other content provided by Bondi (collectively, “Bondi IP”), are owned by or licensed to Bondi and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
12.2 Limited License to Use Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
You may not:
- Copy, modify, or create derivative works of the Services
- Reverse engineer, decompile, or disassemble the Services
- Remove or alter any proprietary notices on the Services
- Use Bondi IP without our prior written permission
- Sublicense, rent, lease, or transfer your rights to the Services
12.3 Trademarks
“Bondi,” the Bondi logo, and other Bondi trademarks are trademarks of Bondi Labs, Inc. You may not use these trademarks without our prior written consent.
12.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Services (“Feedback”), you grant us a perpetual, worldwide, royalty-free, irrevocable license to use, modify, and incorporate such Feedback into our Services without any obligation to you.
12.5 DMCA and Copyright Infringement
We respect intellectual property rights. If you believe that any content on the Services infringes your copyright, please contact us at support@heybondi.com with:
- A description of the copyrighted work you claim has been infringed
- The location of the infringing material
- Your contact information
- A statement that you have a good faith belief that the use is not authorized
- A statement that the information in your notice is accurate
- Your physical or electronic signature
13. Privacy and Data Protection

When you use the Services, Bondi acts as a data processor for your User Content. You are the data controller and are responsible for:

- Providing appropriate privacy notices to individuals
13.4 Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption of data in transit and at rest

13.5 Data Breach Notification
In the event of a data breach affecting your User Content, we will notify you in accordance with applicable law and our obligations under relevant data protection regulations.
14. Disclaimers and Limitation of Liability
14.1 Service Provided “AS IS”
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14.2 No Warranties
WE DO NOT WARRANT THAT:
- The Services will meet your specific requirements
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Services will be accurate or reliable
- Any errors or defects in the Services will be corrected
- The Services will be compatible with all systems or devices
14.3 Use at Your Own Risk
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICES.
14.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BONDI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, data, or use
- Loss of business opportunities
- Damage to business reputation
- Cost of substitute services
- Personal injury or property damage
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.5 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO BONDI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
14.6 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not fully apply to you, and you may have additional rights.
14.7 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Natural disasters (earthquakes, floods, fires, storms)
- War, terrorism, riots, or civil unrest
- Government actions, laws, or regulations
- Labor disputes or strikes
- Internet or telecommunications failures
- Third-party service failures (e.g., cloud infrastructure providers)
- Pandemics or public health emergencies
15. Indemnification
15.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Bondi, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your User Content or any claim that your User Content infringes or violates the rights of any third party
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Any dispute between you and another user or third party
15.2 Defense and Settlement
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent.
16. Service Modifications and Availability
16.1 Right to Modify Services
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice, for any reason, including:
- To improve functionality or user experience
- To address security vulnerabilities
- To comply with legal requirements
- For business or strategic reasons
We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
16.2 Scheduled Maintenance
We perform scheduled maintenance to keep the Services running smoothly. We will:
- Provide advance notice of scheduled maintenance when possible
- Schedule maintenance during off-peak hours when feasible
- Minimize disruption to your use of the Services
16.3 Unplanned Downtime
Despite our best efforts, unplanned service interruptions may occur. While we work to restore Services quickly, we do not guarantee:
- Specific uptime percentages
- Immediate restoration of service
- Compensation for downtime (except as specified in our Refund Policy)
16.4 Service Discontinuation
If we decide to permanently discontinue the Services, we will:
- Provide at least 90 days’ advance notice
- Offer pro-rated refunds for unused subscription time
- Provide tools and support for data export
- Assist with migration when reasonably possible
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
17.2 Jurisdiction and Venue
You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the federal or state courts located in Delaware, United States. You irrevocably consent to the personal jurisdiction and venue of such courts.
17.3 Waiver of Jury Trial
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BONDI WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
17.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BONDI AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
17.5 Informal Resolution
Before filing a formal legal claim, you agree to first contact us at support@heybondi.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.
17.6 Time Limitation
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the cause of action arose. After this period, the claim is permanently barred.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, and any other policies incorporated by reference, constitute the entire agreement between you and Bondi regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings.
18.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18.3 No Waiver
